Terms of use

These terms are an agreement between you (“you”, “your” or “Customer”) and ECM Central (“we”, “us” or “our”) covering the ECM Central platform: the website at ecmcentral.com, the web application at ecm.ecmcentral.com, and our iOS, Android and Windows applications (together, the “Service”).
By creating an account, subscribing, or using the Service, you accept these terms. If you are accepting on behalf of a company, you confirm that you may bind that company.
1. Accounts
- You must give accurate registration details and keep them up to date.
- You are responsible for everything done under your account, and for keeping passwords and two-factor devices secure. Tell us promptly at [email protected] if you suspect unauthorised use.
- The account owner may create additional users within the limits of their plan and is responsible for their use of the Service.
- The Service is for organisations and for people aged 18 or over.
2. Free trial
New accounts include a free trial of 30 days with limited users and storage. No payment details are required. At the end of the trial the account stops working unless you subscribe. We may change or end trial offers for future customers at any time.
3. Subscriptions and billing
- Paid plans are billed in advance, monthly or yearly, at the prices shown when you subscribe. Prices are in US dollars and exclude any taxes that may apply.
- Subscriptions renew automatically for the same period until cancelled, and we charge your payment method on each renewal date.
- Card and bank payments taken on our website and web application are processed by Stripe. We do not store your card details.
- Subscriptions bought inside our iOS or Android app are processed by Apple or Google, charged to that store account, and governed by that store's terms as well as these. Store prices may differ from prices on our website.
- If you add users, storage or modules during a billing period, the extra is charged on a pro rata basis. Reductions take effect at the next renewal.
- We may change prices with at least 30 days' notice by email. A change applies from your next renewal, and you may cancel before it takes effect.
4. Cancellation
- Bought on our website: cancel at any time from Plan & Billing in the application. Your plan stays active until the end of the period you have paid for.
- Bought in the iOS or Android app: cancel through your Apple or Google account subscription settings. We cannot cancel a store subscription for you.
- After a subscription ends, or after payment fails and all retries are exhausted, the account keeps working for 7 days. It is then disabled. Your documents are not deleted during that period, and subscribing again restores access.
- Data in a disabled or expired account may be deleted after 30 days. Export anything you need before cancelling.
5. Refunds
Payments are non-refundable except where the law requires otherwise, including unused time after a cancellation. If the Service has a serious fault we have not fixed, contact us at [email protected] and we will consider a refund case by case. Purchases made through Apple or Google are refunded by that store under their policies, not by us.
6. Your content
- You keep all rights to the documents and data you upload (“Your Content”).
- You grant us only the permission needed to host, process, back up and display Your Content so the Service can work for you and the users you authorise.
- You are responsible for having the right to upload Your Content and for complying with the laws and regulations that apply to it.
- You can export your documents at any time while the account is active.
7. Acceptable use
You agree not to:
- break the law, or infringe anyone's rights, with the Service;
- upload malware, or content that is unlawful or that you have no right to store;
- try to gain unauthorised access to the Service, other customers' data, or its infrastructure;
- probe, scan or load-test the Service without our written permission;
- resell or provide the Service to others except as users of your own account;
- reverse engineer the Service, except where the law expressly allows it.
We may suspend an account that breaches this section, and will tell you why when we can.
8. Availability and support
We work to keep the Service available and reliable, but we do not promise uninterrupted service. Maintenance, updates and events outside our control can cause downtime. Support is available by email at [email protected] and through the support form on this website. Separate service-level commitments apply only where we have agreed them with you in writing.
9. Security and privacy
We protect the Service with encryption, access controls and other measures described in our privacy policy, which forms part of these terms. No system is completely secure. You are responsible for managing who in your organisation can see which documents.
10. Intellectual property
The Service, its software, design and trade marks belong to us and our licensors. These terms give you a limited, non-exclusive, non-transferable right to use the Service during your subscription, and nothing more.
11. Suspension and termination by us
We may suspend or end your access if you break these terms, if payment fails, or if we must do so by law. Except in serious cases, we will give you notice and a chance to put things right. We may also stop offering the Service with 60 days' notice, in which case we refund any period you have paid for but not used.
12. Disclaimers
To the extent the law allows, the Service is provided “as is”, without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. You are responsible for keeping your own copies of critical documents.
13. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental or consequential damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim. Nothing here excludes liability that cannot be excluded by law.
14. Changes to these terms
We may update these terms. If a change is significant we will tell you by email or in the application at least 30 days beforehand. Continuing to use the Service after a change takes effect means you accept the updated terms. The current version is always on this page with its effective date.
15. Governing law
These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law rules. The courts of Delaware have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court. If any provision is found unenforceable, the rest remains in force.
